Board Secretary – Banking (Bahrain)

About the role

The Board Secretary will support the Board of Directors and its committees in a leading Bahraini bank, ensuring robust corporate governance, regulatory compliance and efficient board operations. Acting as a trusted advisor to the Chairperson and senior management, the role facilitates clear communication between the Board, regulators and shareholders.

Key responsibilities

• Organise and coordinate Board of Directors and Committee meetings, preparing calendars, agendas and board packs.
• Record accurate minutes, maintain official board records, resolutions, registers and governance documentation.
• Ensure compliance with Central Bank of Bahrain regulations, Bahrain Commercial Companies Law and internal governance frameworks.
• Advise the Board on governance best practices, monitor conflicts of interest and related‑party transactions.
• Coordinate regulatory filings, audit requests and liaison with regulators, auditors and legal advisors.
• Support Annual General Meetings, shareholder communications and maintain statutory records.
• Facilitate onboarding, induction and continuous professional development for Board members.

Required profile

• Strong understanding of corporate governance principles and banking regulations.
• Excellent minute‑taking, report‑writing and documentation skills.
• High level of integrity, confidentiality and professionalism.
• Strong organisational and coordination abilities.
