Banking & Finance Lawyer – Consultant (Bahrain)

About the role

RAYNE is expanding its consultant team in Bahrain and seeks experienced banking and finance lawyers to join on a flexible, secondment‑based model. You will act as an extension of client in‑house legal teams, handling a variety of financing transactions and regulatory matters.

Key responsibilities

• Draft, review and negotiate banking and finance documentation such as facility agreements, security packages, inter‑creditor arrangements, syndicated loan agreements and Islamic finance structures.
• Advise on conventional and Sharia‑compliant financing transactions, including Murabaha, Ijara, Musharaka and Sukuk issuances.
• Support capital markets transactions, debt issuances and structured finance arrangements.
• Provide guidance on Bahrain regulatory compliance, CBB licensing, AAOIFI standards and Bahrain Bourse rules.
• Manage finance‑related disputes, enforcement actions and pre‑litigation risk.
• Advise on financial services regulation, fintech and digital‑asset frameworks, and evolving CBB requirements.

Required profile

• Minimum 5+ years post‑qualification experience, with flexibility based on overall expertise.
• Strong familiarity with Bahrain banking and finance law, CBB regulatory framework and the wider GCC financial landscape.
• Experience in Islamic finance is highly valued.
• Background spanning both private practice and in‑house roles, preferably with exposure to banks, financial institutions or regulated financial services firms.
• Adaptable, pragmatic and able to work independently as well as collaboratively.

Required skills

• Expertise in drafting and negotiating complex financing agreements.
• Deep knowledge of conventional and Islamic financing structures.
• Understanding of Bahrain regulatory requirements, including CBB licensing and AAOIFI standards.
• Ability to manage finance‑related disputes and provide business‑focused legal solutions.
